Software License Agreement

End User License Agreement (EULA)

Effective Date: October 13, 2025
Licensor: Wigley Studios LLC
Licensee: Any individual or organization who purchases or downloads Wigley Studios software, including Bravura SDK (GUI Toolkit), Bravura Admin Pro (SaaS license management system), Bravura UI Kit Generator, and any related tools or services.

1. Grant of License

Upon purchase or subscription, you are granted a limited, non-exclusive, worldwide license to install, access, and use the applicable Bravura software product(s)—including Bravura SDK, Bravura Admin Pro, and Bravura UI Kit Generator (collectively, the "Software")—on computers or devices owned and operated by you or your organization, subject to the terms of your selected edition, plan, and license type.

License Types:

Subscription Licenses: Monthly or annual recurring licenses with full access during active subscription period
Perpetual Licenses: One-time purchase with lifetime access to the purchased version
Developer Seats: Per-developer licensing as specified at checkout

Everything in Standard, plus:

12 production-ready templates + 17 feature demos (29 total applications)

Designed for secure and controlled deployment environments
Custom branding & white-label options
Priority support + 2 hours custom development
Up to 25 developers

3. Permitted Uses

You may:

Install and use the software on devices within your organization (per the developer limit of your edition)
Use the software to create commercial and non-commercial projects without additional royalties
Distribute end products (applications, games, software) built with Bravura
Modify and customize templates and components for your projects
Use generated code and outputs in your commercial products
Transfer the license to another individual or organization only with prior written consent from Wigley Studios LLC

4. Prohibited Uses

You may NOT:

Resell, rent, lease, sublicense, or redistribute the Bravura framework itself
Share license keys publicly or with unauthorized third parties
Reverse engineer, decompile, or attempt to derive source code
Remove or alter copyright notices, trademarks, watermarks, or attributions
Use the software to create directly competing GUI framework products
Exceed the developer seat limit of your purchased edition
Use subscription licenses after cancellation or non-payment

5. Licensing Model & Activation

Subscription Licenses:

Monthly: $49.99/mo (Standard), $99.99/mo (Professional), $499.99/mo (Enterprise)
Annual: $499.99/yr (Standard), $999.99/yr (Professional), $4,999.99/yr (Enterprise)
Requires active internet connection for periodic license validation
Access terminates upon subscription cancellation

Perpetual Licenses:

One-time purchase: $1,999.99 (Standard), $3,999.99 (Professional), $19,999.99 (Enterprise)
Lifetime access to purchased version
Offline use supported via grace periods described below
Minor updates and bug fixes included
Major version upgrades available at discounted rate

Offline Grace Periods (All Paid Licenses):

Monthly subscriptions: Up to 7 days offline grace between validations
Annual subscriptions: Up to 30 days offline grace between validations
Perpetual licenses: Up to 60 days offline grace between validations

These values match the Bravura Server configuration and may be updated from time to time for security and abuse-prevention reasons. For the latest details, refer to the official Bravura documentation.

License Activation:

All licenses require initial activation via internet connection
Licenses are tied to your Wigley Studios account
You may deactivate and transfer licenses between your own devices
Offline grace periods apply as specified by your billing interval (monthly, annual, perpetual) and may be adjusted over time for security and abuse prevention.

6. Updates & Support

Software Updates

Subscription Users: Receive all updates, upgrades, and new features during active subscription
Perpetual Users: Receive minor updates (bug fixes, security patches) for purchased version. Major version upgrades available at discounted upgrade pricing
Update Delivery: Automatic update notifications through the software

Technical Support

Standard Edition: Community forums and documentation
Professional Edition: Priority email support (response within 48 hours)
Enterprise Edition: Priority support + 2 hours custom development assistance

7. Refunds & Cancellation

Subscription Licenses

14-Day Free Trial: Cancel anytime during trial period with no charge
Monthly Subscriptions: Cancel anytime; access continues until end of current billing period
Annual Subscriptions: Refund available within 30 days if software not used in production

Perpetual Licenses

Refund Period: 30 days from purchase date
Conditions: License must not have been activated or used in production projects

8. Intellectual Property & Ownership

All rights, title, and interest in the Bravura GUI Framework software, including all code, documentation, designs, and underlying technology, remain with Wigley Studios LLC.

What You Own:

Applications and products you build using Bravura
Modified templates and customizations for your projects
Generated code outputs integrated into your applications

What Wigley Studios Owns:

The Bravura framework core and SDK
All framework components and libraries
Templates and demo applications
Documentation and educational materials
Branding, trademarks, and visual identity

9. Output & Distribution Rights

Royalty-Free Distribution: Applications built with Bravura can be distributed commercially or non-commercially without additional royalties to Wigley Studios LLC.

You May Distribute:

Compiled applications built with Bravura
Modified templates integrated into your projects
Generated code as part of your software products
User interfaces created with Bravura components

Attribution

While not required, we appreciate attribution in your application's "About" or credits section:

"Built with Bravura GUI Framework by Wigley Studios"

10. Warranty Disclaimer

The software is provided "AS IS" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Wigley Studios LLC does not warrant that the software will be error-free, uninterrupted, or meet your specific requirements. Use of the software is at your own risk.

11. Limitation of Liability

In no event shall Wigley Studios LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from:

Use or inability to use the software
Unauthorized access to or alteration of your transmissions or data
Bugs, errors, or defects in the software
Third-party claims or damages

Our total liability shall not exceed the amount you paid for the license in the twelve (12) months preceding the claim.

12. Termination

Automatic Termination

This license automatically terminates if you:

Violate any terms of this agreement
Fail to pay subscription fees (for subscription licenses)
Exceed developer seat limits
Engage in prohibited uses outlined in Section 4

Effect of Termination

Upon termination, you must:

Immediately cease using the software
Uninstall all copies from your devices
Destroy all downloaded materials and backups

Note: Applications already built and distributed before termination may continue to be used and distributed.

13. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to conflict of law principles.

Any disputes arising from this agreement shall be resolved through binding arbitration in the State of Georgia. You agree to resolve disputes individually and waive the right to participate in class action lawsuits or class-wide arbitration against Wigley Studios LLC.

14. Changes to This Agreement

Wigley Studios LLC reserves the right to modify this license agreement at any time. Changes will be effective immediately upon posting to our website.

Continued use of the software after changes constitutes acceptance of the modified terms. We will notify active users of material changes via email.

This license agreement constitutes the entire agreement between you and Wigley Studios LLC regarding the use of Bravura SDK, Bravura Admin Pro, Bravura UI Kit Generator, and related Bravura software products, and supersedes all prior agreements and understandings.
