1. Acceptance of Terms

By purchasing, downloading, installing, accessing, or using any Wigley Studios software product, including Chiave (SaaS license management), PromptUI (AI-powered UI generation), PicSift (desktop media deduplication), PostPilot (AI social content), ShipKit (SaaS boilerplate), UI Kit Generator, UI Kit Packs, Developer Labs, and any related tools or services (collectively, the "Software" or "Services"), you agree to be bound by these Terms of Service ("Terms").

If you disagree with any part of these terms, do not use our Software. Your continued use constitutes acceptance of these Terms and any updates.

2. Software Licensing

Important: All Wigley Studios software is licensed, not sold. You receive a limited, non-exclusive, non-transferable license to use the Software according to your tier and payment type.

2.1 Product Categories

Wigley Studios products fall into the following licensing categories. Specific plans, pricing, and features for each product are described on their respective product pages and checkout flows.

SaaS Subscriptions

  • Chiave — License management platform
  • PromptUI — AI-powered UI generation (Unlimited plan)
  • PostPilot — AI social content (Unlimited plan)
  • UI Kit Generator — Design system creation (Unlimited plan)
  • Billed monthly; cancel anytime
  • Access continues until end of billing period

Credit Packs (One-Time)

  • PromptUI — AI generation credits
  • PostPilot — Social content credits
  • UI Kit Generator — Kit generation credits
  • Credits never expire
  • Non-refundable once used

One-Time Purchases

  • ShipKit — SaaS boilerplate (instant download)
  • PicSift — Desktop media deduplication
  • UI Kit Packs — Pre-made design system kits
  • Perpetual license; no recurring fees
  • Includes updates as specified per product

2.2 Payment Models

  • Monthly Subscription: Recurring license billed monthly, cancel anytime. Applies to Chiave and Unlimited-tier plans.
  • One-Time Purchase: Single payment for perpetual access. Applies to ShipKit, PicSift, UI Kit Packs, and credit packs.
  • Free Tiers: PostPilot (3 preview credits), PromptUI (welcome generation), UI Kit Generator (welcome generation), Developer Labs (fully free), and free resource tools require no payment.

2.3 Commercial Use

All license tiers include commercial use rights. You may use the Software to create, develop, and distribute commercial applications without additional royalties or fees.

2.4 Connectivity Requirements

Most Wigley Studios products are web-based and require an active internet connection. Desktop products (PicSift) use periodic online license validation with cached activation to support temporary offline use.

3. Your Obligations

3.1 Permitted Use

You may:

  • Install and use the Software on devices within your license limits
  • Create and distribute applications built with the Software
  • Modify templates and components for your projects
  • Use the Software for commercial and non-commercial purposes

3.2 Prohibited Use

You may not:

  • Reverse engineer, decompile, or disassemble the Software (except where provided with source code access)
  • Share, rent, lease, sublicense, or transfer your license key or account
  • Circumvent license validation or activation systems
  • Remove or modify copyright notices or branding
  • Use the Software to create a directly competing product or service
  • Exceed your licensed usage limits

4. Payment Terms

4.1 Pricing and Billing

  • All prices are in USD and exclude applicable taxes unless stated
  • Subscription services auto-renew unless cancelled before the renewal date
  • We reserve the right to change prices with 30 days' notice

4.2 Refund Policy

Try Before You Buy: Several products offer free tiers or free trials. We recommend testing before purchasing.

Product-Specific Refund Policy:

Chiave – SaaS Subscription (Starter & Unlimited)

  • ✅ 30-day free trial available before any charge.
  • ✅ Cancel during the trial at no cost.
  • ⚠️ After the trial converts to a paid subscription, cancellation stops future charges but no partial-period refund is issued.
  • 📋 Reason: Chiave is a SaaS service with ongoing infrastructure costs. The free trial provides full evaluation before commitment.

PromptUI – AI Generation Credits (Starter & Pro)

  • ⚠️ Non-refundable once any AI generation has been initiated.
  • 💡 Credits never expire, so you can wait to generate until you're ready.
  • 📋 Reason: AI generations are instant digital goods that consume compute resources and cannot be revoked.

PromptUI – Unlimited Subscription

  • ✅ 7-day money-back guarantee if fewer than 5 generations have been used.
  • ⚠️ Using 5 or more generations makes the subscription non-refundable for that billing period.
  • ✅ Cancel anytime — access continues until the end of current billing period.

PostPilot – AI Social Content

  • ✅ Free tier (3 lifetime preview credits) — no payment, no refund needed.
  • ⚠️ Starter credits ($9.99): Non-refundable once any generation has been initiated.
  • ✅ Unlimited subscription ($24.99/mo): 7-day money-back guarantee if fewer than 5 generations used.
  • 📋 Reason: AI generations consume compute resources immediately and cannot be revoked.

ShipKit – SaaS Boilerplate (Starter & Professional)

  • ⚠️ Non-refundable once the download link has been accessed.
  • ✅ If the download link has not been accessed, refunds are available within 14 days.
  • 📋 Reason: ShipKit is an instant digital download containing full source code that cannot be revoked after access.

PicSift – Desktop License (Starter & Unlimited)

  • ⚠️ Non-refundable once a license key has been activated on any machine.
  • ✅ Refunds available within 14 days if the license has not been activated and the software has not been downloaded more than once.

UI Kit Generator – Unlimited Subscription

  • ✅ Refunds available within 14 days only if you generate no more than one paid kit beyond the complimentary welcome kit and you have not exported/downloaded paid assets.
  • ⚠️ Generating a second paid kit or exporting any paid kit immediately finalizes the sale (no refunds) because the assets cannot be revoked.
  • 📋 Reason: Kits are instant digital goods. Usage-based eligibility prevents abuse while protecting honest subscribers.

UI Kit Generator – Starter Credits

  • ⚠️ Non-refundable once a paid kit has been generated or exported.
  • 💡 Credits never expire, so you can wait to generate until you're ready.

Refund Processing:

  • Refunds processed within 5-7 business days
  • License key will be automatically deactivated upon refund
  • No refunds for violations of these Terms
  • Subscription cancellations: Access continues until the end of current billing period (not refundable)

Applies to Wigley Studios Products: Unless otherwise specified at checkout, this refund policy applies to Chiave, PromptUI, PostPilot, ShipKit, UI Kit Generator, UI Kit Packs, PicSift, and all other Wigley Studios products.

4.3 Wigley Studios Credits

Wigley Studios Credits are a virtual currency that can be purchased and used across our platform:

  • No Monetary Value: Credits have no cash value and cannot be exchanged, transferred, or redeemed for real currency, gift cards, or any form of payment outside of Wigley Studios products and services.
  • Non-Transferable: Credits are tied to your account and cannot be transferred, sold, or given to other users.
  • No Expiration: Purchased credits do not expire as long as your account remains in good standing.
  • Refunds: Credit purchases are generally non-refundable once any credits have been used. Unused credit balances may be eligible for refund on a case-by-case basis within 14 days of purchase.
  • Promotional Credits: Bonus credits received through promotions, achievements, referrals, or loyalty programs are granted at our discretion and may have different terms including potential expiration.
  • Account Termination: If your account is terminated for any reason, all remaining credits will be forfeited without compensation.
  • Platform Use Only: Credits may only be used to purchase products, services, game entries, and other offerings within the Wigley Studios ecosystem.

5. Subscription Management

5.1 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You'll receive a renewal reminder 7 days before billing.

5.2 Subscription Portal

Access your subscription management portal directly from your customer dashboard. Through the Stripe Customer Portal, you can:

  • Cancel your subscription anytime
  • Change between monthly and annual billing
  • Upgrade or downgrade your subscription plan
  • Update payment methods
  • View invoices and payment history
  • Update billing information

5.3 Plan Changes (Upgrades/Downgrades)

You can change your subscription plan at any time through the Customer Portal:

Upgrades:

  • When upgrading to a higher tier, the change takes effect immediately
  • Proration credit applied automatically for unused time on your current plan
  • You'll be charged the prorated difference immediately
  • Your new features and limits activate instantly

Downgrades:

  • When downgrading to a lower tier, the change takes effect at the end of your current billing period
  • You retain access to your current tier features until the billing period ends
  • The new lower rate applies on your next renewal date
  • No partial refunds for unused time when downgrading

Billing Interval Changes:

  • Switch between monthly and annual billing at any time
  • When switching from monthly to annual: Immediate proration and billing for the annual plan
  • When switching from annual to monthly: Change takes effect at the end of current annual period

5.4 Cancellation

Cancel anytime through your Customer Portal or by contacting support. Upon cancellation:

  • No further charges will be processed
  • Access continues until the end of the current billing period
  • No refunds for remaining time in current period (see Refund Policy)
  • You may reactivate your subscription at any time
  • Your license key will be deactivated at the end of the billing period

5.5 Proration

We use Stripe's automatic proration system for fair billing:

  • When upgrading mid-cycle, you receive credit for unused time on your current plan
  • Charges are calculated to the minute for maximum fairness
  • Example: If you're halfway through a monthly subscription and upgrade, you'll receive credit for the remaining 15 days
  • All proration calculations are handled automatically by Stripe

6. Support and Updates

6.1 Support

  • Email support: Available for all paid products, 24-48 hour response time
  • Customer Dashboard: Manage your subscriptions, licenses, and billing at any time
  • Documentation: Product-specific docs and guides are available on each product's page

6.2 Software Updates

  • SaaS products: Continuous updates included while your subscription is active
  • One-time purchases: Updates included as specified on the product page at the time of purchase
  • Free tools: Updated at our discretion at no additional cost

Updates include bug fixes, performance improvements, new features, and security patches.

7. Intellectual Property

All Software, including code, design, documentation, and branding, is owned by Wigley Studios LLC and protected by United States and international copyright, trademark, and trade secret laws.

7.1 Your Applications

You retain all rights to applications you create with the Software. Wigley Studios claims no ownership over your projects, code, or output.

7.2 Attribution

While not required, we appreciate attribution when using Wigley Studios products in your applications (e.g., "Built with Bravura by Wigley Studios").

8. Privacy and Data

Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and protect your information.

8.1 License Validation

The Software periodically validates your license with our servers. This process transmits only your license key, device identifier, and basic system information (OS version, Software version). No personal files or data are accessed or transmitted.

9. Disclaimers and Limitations

9.1 Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WIGLEY STUDIOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE.

Our total liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim. Some jurisdictions do not allow certain limitations of liability. In such cases, liability is limited to the maximum extent permitted by applicable law.

10. Termination

We may terminate or suspend your license immediately, without notice, if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Abuse or reverse engineer the Software
  • Fail to pay subscription fees

Upon termination, you must cease all use and delete all copies of the Software. Provisions regarding intellectual property, disclaimers, and limitations survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

11.1 Dispute Resolution

Any disputes arising from these Terms or your use of the Software shall be resolved through binding arbitration in the State of Georgia, except where prohibited by law. For claims under $10,000, arbitration may be conducted entirely online.

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for matters relating to intellectual property or unauthorized access to the Software.

11.2 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class action lawsuits or class-wide arbitration against Wigley Studios LLC.

11.3 Chargebacks

Chargebacks or fraudulent payment disputes may result in immediate license deactivation and account suspension.

12. Professional Services

12.1 Scope of Work

Professional services (security audits, Stripe integration audits, MVP development, AI consulting, and SEO content) are delivered as described on the service listing at the time of purchase. The scope is defined by the service tier selected.

12.2 Code Access and Data Handling

  • We access client repositories via read-only collaborator permissions only
  • No copies of client code are retained after deliverable completion
  • Repository access is revoked immediately upon delivery
  • AI tooling used during audits operates under zero-retention API settings
  • Client code is never used for training or fed into any training pipeline

12.3 Delivery and Turnaround

Fixed-price services include a guaranteed turnaround time (stated on the service listing). The turnaround clock begins when all required access and information has been provided. If the deliverable is not provided within the stated turnaround, a full refund is available on request.

12.4 Revisions

Delivered work may be revised based on client feedback. Clients may request revisions through the client portal until they formally accept the deliverable. Unreasonable or out-of-scope revision requests may be declined or quoted separately.

12.5 Limitation of Liability

Security audit findings represent our best-effort assessment at the time of review. We do not guarantee the identification of all vulnerabilities. Implementing remediation recommendations is the client's responsibility. Wigley Studios is not liable for security incidents occurring after delivery.

12.6 Subscription Services

Recurring services (SEO Content at Scale, AI Integration Retainer) are billed monthly. Subscriptions may be cancelled at any time via the Stripe customer portal. Cancellation takes effect at the end of the current billing period. No partial refunds for unused portions of a billing period.

12.7 Confidentiality

All client code, business logic, and project details shared during service engagements are treated as confidential. A formal NDA is available on request prior to engagement. Testimonials and case studies are only published with explicit client consent.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

  • Email notification to registered users
  • Prominent notice on our website
  • In-product notifications within applicable Wigley Studios products

Continued use after notification constitutes acceptance of the updated Terms. Changes become effective 30 days after notice, unless otherwise stated.
